At Paragon Society, we partner only with vendors and service providers who share our commitment to excellence, discretion, and service integrity. This Supplier Code of Conduct outlines the expectations and responsibilities required of any partner working with our team or our members.

By working with Paragon Society, you agree to the terms below:

1. Scope of Liability and Indemnification

Paragon Society acts solely as an introducer and facilitator of third-party services. We accept **no liability for the performance, quality, or outcome of goods and services provided by suppliers.

You agree to fully indemnify Paragon Society, its affiliates, and its members against any claims, losses, or damages (direct or indirect) arising from the provision of your goods or services.

2. Professional Standards

All services provided to Paragon Society or its clients must be delivered:

- In a professional and competent manner
- In accordance with the agreed-upon instructions and timelines

If you are unable to fulfill a request as scheduled, you must notify Paragon Society no later than two (2) business days from the time of engagement (or immediately if a deadline has been provided).

3. Booking Terms

You must clearly provide **any terms and conditions—especially relating to **cancellations, changes, or refunds—prior to confirming a booking. Failure to disclose these terms in advance renders them unenforceable.

4. Insurance Requirements

You are required to hold and maintain current General Liability Insurance:

- Minimum coverage: USD $1,000,000
- For inherently high-risk activities (e.g., yacht or jet charters, firearms, equestrian activities): USD $5,000,000

Proof of coverage must be supplied upon request.

5. Non-Solicitation

As a supplier to Paragon Society, you agree that you will not solicit, contact, or accept business from any of the following without prior written approval:

- Paragon Society members or clients
- Partner brands or suppliers
- Any third party introduced to you by Paragon Society

All engagement must remain exclusively for the fulfillment of services requested through Paragon Society.

6. Confidentiality and Non-Disparagement

You and your employees agree to strict non-disparagement and confidentiality, including refraining from:

- Making any negative remarks (written or verbal) about Paragon Society, its members, staff, or partners
- Sharing confidential or proprietary information

7. Data Privacy and Protection

You must comply with all relevant data protection and privacy regulations, including but not limited to:

- General Data Protection Regulation (GDPR)
- California Consumer Privacy Act (CCPA)

You warrant that:

- You will obtain all necessary consent to process personal data for service delivery
- You will not retain, resell, or misuse client data
- You will safeguard all data to the highest security standards
- Any breach will result in full indemnification of Paragon Society for any resulting losses or claims

8. Payment Data Security

If you are provided with cardholder data (e.g., credit/debit card details):

- You are responsible for storing, processing, and transmitting that data in line with PCI DSS standards
- Paragon Society reserves the right to audit your compliance
- Failure to meet these standards will result in immediate termination of supplier status

9. Right to Terminate

Paragon Society reserves the right to terminate any supplier relationship immediately should you fail to comply with this Code of Conduct, or if your conduct risks the integrity, safety, or experience of our members.
